These terms are an agreement between you and SubSub, LLC. By creating an account or using SubSub, you agree to them. If you are agreeing on behalf of a company, you confirm you have authority to do so.
1. Accepting these terms
You must be at least 18 and able to enter a contract. If you do not agree to these terms, do not use the service.
2. What SubSub does
SubSub is software for managing subcontractors: onboarding them, reviewing their compliance documents, scheduling their crews onto jobs, issuing work orders, and recording callbacks, warranty claims and ratings.
SubSub is a tool, not a party to your subcontracts. We do not employ, endorse, supervise, insure or guarantee any subcontractor, and we are not a party to any agreement between you and them. We do not provide legal, insurance, tax or accounting advice.
3. Accounts and users
You are responsible for your account, for the accuracy of what you enter, and for keeping credentials secure. Tell us promptly if you suspect unauthorised access.
Your team members use seats on your plan. Subcontractors you invite receive their own free logins; they maintain their own company records and documents. A subcontractor may hold relationships with more than one hiring company, and may have their own SubSub account.
4. Plans, billing and renewal
- Basic is free and limited to 3 subcontractors, 1 user, and 5 jobs per calendar month. Branding is not included.
- Scale is $99 per month, or $990 per year paid annually. It includes unlimited subcontractors, users and jobs, plus your own logo and sign-in address.
- Subscriptions renew automatically — monthly or annually, matching your billing cycle — until cancelled. Cancel any time and you keep access to the end of the period you paid for.
- Fees are in US dollars and exclude taxes, which we will add where required.
- Except where required by law, payments are non-refundable, including for partial periods.
- SMS notifications may be charged based on usage. We will show the rate before you enable them.
- We may change prices with at least 30 days' notice by email. The new price applies at your next renewal.
5. Your responsibilities
You agree not to use SubSub to break the law, infringe anyone's rights, upload malicious code, attempt to access other customers' data, scrape or reverse-engineer the service, or resell it without our written agreement.
You are responsible for having a lawful basis to upload information about your subcontractors and their people, and for telling them how that information will be used.
6. Compliance features
SubSub helps you record and track compliance documents and can query public state licence records. These features assist your process; they do not replace it.
You remain solely responsible for deciding whether a subcontractor is adequately licensed, insured and bonded for your work. Public records can be incomplete or out of date, uploaded documents may be inaccurate or altered, and coverage can lapse between checks. Approving a document in SubSub, or accepting a coverage limit below your stated requirement, is your decision and your risk. We do not verify the authenticity of any document.
7. Notifications
SubSub sends transactional email and, where enabled, SMS about jobs, work orders, document requests and deadlines. These messages are one-way and sent from unmonitored addresses and numbers. You are responsible for ensuring the contact details you enter are correct and that recipients consent to being contacted. Message and data rates may apply.
8. Your content
You keep ownership of everything you and your subcontractors put into SubSub. You grant us a licence to host, copy, transmit and display it as needed to operate the service and as described in our Privacy Policy. You can export your data while your account is active.
9. Our intellectual property
SubSub, its software, design and the SubSub name and logo belong to us. These terms grant you a limited, non-exclusive, non-transferable right to use the service while your account is in good standing. Feedback you send us may be used without obligation to you.
10. Availability and support
We aim to keep SubSub available but do not promise uninterrupted service. We may change, suspend or discontinue features, and will give reasonable notice of material changes that reduce core functionality. Planned maintenance will be scheduled to limit disruption where practical.
11. Disclaimer of warranties
The service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be error-free, that data will always be accurate or available, or that it will meet your requirements.
12. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill.
Our total liability arising out of or relating to these terms or the service will not exceed the greater of (a) the fees you paid us in the 12 months before the event giving rise to the claim, or (b) one hundred US dollars ($100).
In particular, we are not liable for any loss, damage, injury, claim or liability arising from the acts, omissions, workmanship, insurance status or licensing of any subcontractor, or from your decision to engage or approve one.
13. Indemnity
You agree to indemnify and hold harmless SubSub, LLC and its officers, employees and agents from claims, losses and expenses (including reasonable legal fees) arising from your use of the service, your breach of these terms, your subcontracts, or your handling of information about other people.
14. Suspension and termination
You can close your account at any time. We may suspend or terminate access if you breach these terms, if payment fails, or if we must do so by law — with notice where practical, and immediately where the breach causes risk to others. On termination your right to use the service ends; we retain records as described in the Privacy Policy.
15. Governing law
These terms are governed by the laws of the State of Washington, without regard to its conflict-of-laws rules. The state and federal courts located in King County, Washington have exclusive jurisdiction, and both parties consent to venue there.
16. Other terms
If any provision is unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these terms without our consent; we may assign them in connection with a merger or sale. These terms, together with the Privacy Policy, are the entire agreement between us. We may update these terms and will notify the account administrator of material changes by email; continued use after the effective date means you accept them.
